Ltd. – Xenial will have the right to participate in any defense by you of a third-party claim related to your use of any of the Website content or Products, with counsel of Xenial India Pvt. Ltd.’s choice at its expense. Xenial India Pvt. Ltd. – Xenial will reasonably cooperate in any defense by you of a third-party claim at your request and expense. You will have sole responsibility to defend Xenial India Pvt. Ltd. – Xenial against any claim, but you must receive Xenial India Pvt. 7. General

Xenial India Pvt. Ltd. – Xenial will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott. Cessation of Operation. Xenial India Pvt. Ltd. – Xenial may at any time, in its sole discretion and without advance notice to you, cease operation of the Website and distribution of the Products.

Entire Agreement: This Agreement comprises the entire agreement between you and Xenial India Pvt. Ltd. – Xenial and supersedes any prior agreements pertaining to the subject matter contained herein.

Effect of Waiver: The failure of Xenial India Pvt. Ltd. – Xenial to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

Governing Law: Indian Court, This Website originates from Gurgaon, Haryana. This Agreement will be governed by the laws of the State of Haryana without regard to its conflict of law principles to the contrary. Neither you nor Xenial India Pvt. Ltd. – Xenial will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, to recover damages for breach of or default of this Agreement, or otherwise arising under or by reason of this Agreement, other than in courts located in State of Haryana. By using this Website or ordering Products, you consent to the jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim arising under or by reason of this Agreement. You hereby waive any right to trial by jury arising out of this Agreement and any related documents.

Statute of Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Website or Products or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. Waiver of Class Action Rights. By entering into this agreement, you hereby irrevocably waive any right you may have to join claims with those of other in the form of a class action or similar procedural device. Any claims arising out of, relating to, or connection with this agreement must be asserted individually.

Termination: Xenial India Pvt. Ltd. – Xenial reserves the right to terminate your access to the Website if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions of this Agreement. Following termination, you will not be permitted to use the Website and Xenial India Pvt. Ltd. – Xenial may, in its sole discretion and without advance notice to you, cancel any outstanding orders for Products. If your access to the Website is terminated, Xenial India Pvt. Ltd. – Xenial reserves the right to exercise whatever means it deems necessary to prevent unauthorized access of the Website. This Agreement will survive indefinitely unless and until Xenial India Pvt. Ltd. – Xenial chooses, in its sole discretion and without advance to you, to terminate it.

Domestic Use: Xenial India Pvt. Ltd. – Xenial makes no representation that the Website or Products are appropriate or available for use in locations outside India. Users who access the Website from outside India do so at their own risk and initiative and must bear all responsibility for compliance with any applicable local laws. Assignment. You may not assign your rights and obligations under this Agreement to anyone. Xenial India Pvt. Ltd. – Xenial may assign its rights and obligations under this Agreement in its sole discretion and without advance notice to you.

Cancellation & Refund Policy

1.  Fulfilment will be handled by Company, and at no point Client should contact the Hotel directly, Company will provide fulfilment check in report 48 hrs prior to check in.
2. All cancellation will be settled as per the Company cancellation policies as agreed by Client. Company will support any changes or amendments in the reservations only if informed 48 hours prior to the check in. Any change in prices, cancellations or penalties will be at the sole discretion of Company. Service tax will be adjusted in the business settlement.
3. Company will provide room inventory category as discussed and finalized between the two parties.
4. Children above 5 years of age will be chargeable.
5. All bookings will be made only through E-mail & the same will be considered as supporting document.
6. Invoice will be raised after every check out and amount shall be paid within 10 days.
7. If required Email copies will be provided as supporting documents. No other document will be provided as supporting.
8. Extension / Early Check-out than the actual date of any booking will be done through E-mails by informing 48hrs prior.
9. In case of No-show, 1 night retention charges will be applicable.
10. Cancellation policy – 48 hours prior through mail else 1 night retention charge will be applicable.
11. Amount only related to that of packaged room tariff / booking modifications (If any) shall be deducted from the advance payment cycle of as per mutual agreement with client.
12. In case of booking of more than 15 days (Bulk booking). Advance or interim payment shall be followed.
13. User can apply for Refund only within 10 days of the purchase with an appropriate reason.
14. User can apply for Refund only within 10 days of the purchase with an appropriate reason.
15. If Refund Request is raised by any other mode like email from other unregistered Email ID / verbal communication as a primary intimation; it will not be considered as a Refund Request.
16. If the reason for the Refund is found ‘Due to any mis-selling of the respective Sponsor’ then the liability to cancel the distributorship for the Sponsor without any prior notice is at the discretion of the Management.
17. If any User raises a chargeback in bank for the transaction made after the refund period then appropriate action (Cancel/ Discontinue) can be taken against the sponsor.
18. After approval of the refund from Refund Team, User will get settled amount within the next 15 days in their Bank Account.
19. Settlement will be done after deducting the whole amount received by the user for the services till date.
